For me the only concernable difference between the two would be to Floyd or not and after being in the studio for a week tracking rythm and fed up with tuning every 5 seconds, I would go for guitar number #1.
On a more serious note, I think I'd go with #1, even if it doesn't have a Floyd. I like mahogany guitars (I would put a Duncan Distortion in there!), and I already have a couple of great playing, Floyded guitars. Even better if it's short scale! I don't have a TOM/Stoptail at the moment, so it would fill a void in my arsenal.
#1 for me. I like mahogany and stop tails, although I do own floyded gits too.

I decided to go with #2. The combination of features and hardware simply beat out any other V for the price. I'm predisposed towards Jackson, but I don't have any real beef with any manufacturer. That said, I bought used, so no money goes to ESP. I'm pretty excited to get this thing - it's got everything I would do to it already done.
